TERMS AND CONDITIONS OF USE
1.1. These terms and conditions shall govern your use of the APEC Virtual Knowledge Center on Services (Knowledge Center).
1.2. If you register with the Knowledge Center, submit any material to the Knowledge Center or use any of Knowledge Center's services, it is understood that you accept without modification the terms, conditions, and notices contained herein. Your use of the Knowledge Center Site constitutes your agreement to all such terms, conditions, and notices.
2. Copyright notice
2.1. Subject to the express provisions of these terms and conditions:
2.1.1. All APEC-sourced material in the Knowledge Center is the intellectual property of APEC.
2.1.2. The Knowledge Center will contain copyright material, trademarks, and other proprietary information, including but not limited to text, photos and graphics, videos, music, and sound, all of which will be protected by copyright law, database rights and intellectual property rights.
3. License to use the Knowledge Center
3.1. You may:
3.1.1. view pages from the Knowledge Center in a web browser;
3.1.2. download pages from the Knowledge Center for caching in a web browser;
3.1.3. print pages from the Knowledge Center;
3.1.4. stream audio and video files from the Knowledge Center; and
3.1.5. use the Knowledge Center's services by means of a web browser,
subject to the other provisions of these terms and conditions.
3.2. Except as expressly permitted by Section 4.1 or the other provisions of these terms and conditions, you must not download any material from the Knowledge Center or save any such material to your computer, except for materials that are explicitly intended for this purpose.
3.3. Unless you own or control the relevant rights in the material, or unless otherwise stated, you must not:
3.3.1. republish material from the Knowledge Center (including republication on another website);
3.3.2. sell, rent or sub-license material from the Knowledge Center;
3.3.3. show any material from Knowledge Center in public;
3.3.4. exploit material from the Knowledge Center for a commercial purpose; or
3.3.5. redistribute material from the Knowledge Center.
3.4. We reserve the right to restrict access to areas of the Knowledge Center, or indeed the whole Knowledge Center, at our discretion; you must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on the Knowledge Center.
4. Acceptable use
4.1. You must not:
4.1.1. use the Knowledge Center in any way or take any action that causes, or may cause, damage to the Knowledge Center or impairment of the performance, availability or accessibility of the Knowledge Center;
use the Knowledge Center in any way that is unlawful, illegal,
fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent
or harmful purpose or activity;
4.1.3. use the Knowledge Center to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software;
4.1.4. conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Knowledge Center without our express written consent, unless where this is explicitly stated;
4.1.5. access or otherwise interact with the Knowledge Center using any robot, spider or other automated means
4.1.6. use data collected from the Knowledge Center for any direct marketing activity (including without limitation email marketing, SMS marketing, telemarketing and direct mailing).
4.1.7. You must ensure that all the information you supply to us through the Knowledge Center, or in relation to the Knowledge Center, is true, accurate, current, complete.
5. Registration and accounts
5.1. To be eligible for an individual account on the Knowledge Center under this Section 6, you must be of legal age.
5.2. You may register for an account with the Knowledge Center by completing and the account registration procedure on the Knowledge Center.
5.3. You must not allow any other person to use your account to access the Knowledge Center.
5.4. You must notify us in writing or by email immediately if you become aware of any unauthorised use of your account.
6. User login details
6.1. If you register for an account with the Knowledge Center, you will be asked to choose a user ID and password.
6.2. You must keep your password confidential.
6.3. You must notify us in writing immediately if you become aware of any disclosure of your password.
6.4. You are responsible for any activity on our website arising out of any failure to keep your password confidential, and may be held liable for any losses arising out of such a failure.
7. Cancellation and suspension of account
7.1. We may:
7.1.1. suspend your account;
7.1.2. cancel your account; and/or
7.1.3. edit your account details,
at any time in our sole discretion without notice or explanation.
7.2. You may cancel your account on the Knowledge Center using your account control panel on the website.
8. Your content: license
8.1. In these terms and conditions, "your content" means all works and materials (including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts, software and files) that you submit to the Knowledge Center for storage or publication on, processing by, or transmission via the Knowledge Center.
8.2. You hereby waive all your moral rights in your content to the maximum extent permitted by applicable law; and you warrant and represent that all other moral rights in your content have been waived to the maximum extent permitted by applicable law. (I'm not sure what this means, but let's keep it)
8.3. Without prejudice to our other rights under these terms and conditions, if you breach any provision of these terms and conditions in any way, or if we reasonably suspect that you have breached these terms and conditions in any way, we may delete, unpublish or edit any or all of your content.
9. Your content: rules
9.1. You warrant and represent that your content will comply with these terms and conditions.
9.2. Your content must not be illegal or unlawful, must not infringe any person's legal rights, and must not be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law).
9.3. Your content, and the use of your content by us in accordance with these terms and conditions, must not:
9.3.1. be libelous or maliciously false;
9.3.2. be obscene or indecent;
9.3.3. infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right;
9.3.4. infringe any right of confidence, right of privacy or right under data protection legislation;
9.3.5. constitute negligent advice or contain any negligent statement;
9.3.6. constitute an incitement to commit a crime;
9.3.7. be in contempt of any court, or in breach of any court order;
9.3.8. be in breach of racial or religious hatred or discrimination legislation;
9.3.9. be blasphemous;
9.3.10. be in breach of official secrets legislation;
9.3.11. be in breach of any contractual obligation owed to any person;
9.3.12. be untrue, false, inaccurate or misleading.
10. Limited warranties
We do not warrant or represent:
10.1. the completeness or accuracy of the information published on the Knowledge Center;
10.2. that the material on the Knowledge Center is up to date; or
10.3. that the Knowledge Center or any service on the Knowledge Center will remain available.
10.4. We reserve the right to discontinue or alter any or all of the Knowledge Center's services, and to stop publishing the Knowledge Center, at any time in our sole discretion without notice or explanation 11.3
11.1. This website is presented by the Asia Pacific Economic Cooperation (APEC), the Department of Foreign Affairs (DFA) of the Republic of the Philippines and the Asian Institute of Management (AIM) for the purpose of disseminating information free of charge for the benefit of the public.
11.2. APEC, DFA and the AIM do not guarantee, and accept no legal liability whatsoever arising from or connected to, the accuracy, reliability, currency or completeness of any material contained on this website or on any linked site.
11.3. APEC, DFA and the AIM recommend that users exercise their own skill and care with respect to their use of this website and that users carefully evaluate the accuracy, currency, completeness and relevance of the material on the website or on any linked site.
11.4. The material on this website is a summary only of the subject matter covered and does not necessarily reflect the views of APEC, the Philippine Government or DFA, and AIM. 12.2. We will not be liable to you in respect of any loss or corruption of any data, database or software.
12.3. We will not be liable to you in respect of any special, indirect or consequential loss or damage.
13. Breaches of these terms and conditions
13.1. Without prejudice to our other rights under these terms and conditions, if you breach these terms and conditions in any way, or if we reasonably suspect that you have breached these terms and conditions in any way, we may:
13.1.1. send you one or more formal warnings;
13.1.2. temporarily suspend your access to the Knowledge Center;
13.1.3. permanently prohibit you from accessing the Knowledge Center;
13.1.4. block computers using your IP address from accessing the Knowledge Center;
13.1.5. contact any or all of your internet service providers and request that they block your access to the Knowledge Center;
13.1.6. suspend or delete your account on our website.
13.2. Where we suspend or prohibit or block your access to the Knowledge Center or a part of the Knowledge Center, you must not take any action to circumvent such suspension or prohibition or blocking, including without limitation creating and/or using a different account.
14.1. We may revise these terms and conditions from time to time.
14.2. We will give you notice of any revision of these terms and conditions, and the revised terms and conditions will apply to the use of our website from the date that we give you such notice; if you do not agree to the revised terms and conditions, you must stop using the Knowledge Center.
15. Law and Jurisprudence
15.1. These terms and conditions shall be governed by and construed in accordance with Philippine Law and the Republic Act No. 10175 entitled 'Cybercrime Prevention Act of 2012.'
